The Terms, together with applicable terms and conditions related to any promotional offers provided to you for use with Premier Edition, constitute the entire agreement between you and ADPAlumni.com related to the Premier Edition membership program. Please note that your use of the ADPAlumni.com Web site and Premier Edition membership are also governed by our Conditions of Use and Disclaimer and Privacy Notice, as well as all other applicable terms, conditions, limitations and requirements on the ADPAlumni.com Web site, all of which (as changed over time) are incorporated into these Terms. If you register for membership, you accept these terms, conditions, limitations and requirements. Please read these Terms carefully.

Program Benefits

Premier Edition Members have access to a photo album application specific to their membership account. This photo album application will allow Premier Members to upload photographs, manage photo album categories, and comment on each other’s photos. In addition, Premier Members will be able to designate one of their photo album’s uploaded photos as a “profile picture” that will be displayed next to their name where applicable. Premier Members will also have access to special filtering capabilities of the list of ADPAlumni, be able to post their resume on the website for display to all other members, and the weekly ADPAlumni Update Emails.

Conditions, Conduct of use

You must have an ADPAlumni.com account to register for and use Premier Edition. We reserve the right to accept or refuse membership at our discretion. You may not transfer or assign your membership or these benefits. By accessing ADPAlumni.com, you agree to use the ADPAlumni.com service, including all features associated therewith, the Website and its content in accordance with all applicable laws, rules and regulations. In addition, you agree not to upload, post, e-mail or otherwise send or transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with ADPAlumni.com. You also agree not to interfere with the servers or networks connected to ADPAlumni.com or to violate any of the procedures, policies or regulations of networks connected to ADPAlumni.com. You also agree not to impersonate any other person while using ADPAlumni.com, conduct yourself in a vulgar or offensive manner while using our service, or use ADPAlumni.com for any unlawful purpose. All photographs and content uploaded to the ADPAlumni.com website for the purpose of being displayed in a member’s photo album, profile, or other website pages will be reviewed. Any photos or content deemed by the ADPAlumni.com webmasters, owners, and administrators to be vulgar, offensive, or damaging in any way to Automatic Data Processing, Inc., or any member or person viewing the site will be deleted, and the member responsible for uploading the content will be banned from the website. We reserve the right to delete or remove any content from the website for any reason without notice.

Fees; Renewal

The current annual membership fee for Premier Edition is $10.00. This fee is non-refundable. Taxes may apply on the membership fee. ADPAlumni.com reserves the right to change this fee at any time without notice. The period of membership is one (1) year and WILL NOT AUTOMATICALLY RENEW. At the end of the membership period, the member is responsible for renewing the membership. ADPAlumni.com will attempt to contact the member before the renewal date. If one full year passes from the date of membership purchase without renewal, the member will be locked out of the website and will no longer receive any emails from ADPAlumni.com until he or she renews their membership at the current membership rate plus any and all applicable taxes.

Membership Terms

There is no ‘free edition’ of ADPAlumni.com. All members wishing to join ADPAlumni after the program launch date are required to become Premier Edition members. Current members of ADPAlumni.com are exempt from this requirement. The weekly email updates will continue for non-Premier members for a period of approximately one (1) month after the program launch date. After this period, the weekly email updates will cease for non-Premier members. In order to continue receiving the weekly email updates, current members will have to upgrade their membership to Premier.

Membership Cancellation

If you wish to cancel your membership, you may do so at any time by contacting us via email. Please note that the Premier Membership Fee is non-refundable.

Promotional Trial Memberships

We sometimes offer certain customers various trial or other promotional memberships, which are subject to these Terms except as otherwise stated in the promotional offers. Trial memberships cannot be canceled, but trial members can at any time choose not to upgrade to regular annual membership at the end of the trial period.

Agreement Changes

We may in our discretion change these Terms, ADPAlumni.com's general Conditions of Use, Disclaimer and Privacy Notice, or any aspect of Premier Edition membership, without notice to you. However, any increase in the membership fee will not apply until your membership is renewed. If any change is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions. YOUR CONTINUED MEMBERSHIP AFTER WE CHANGE THESE TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST CANCEL YOUR MEMBERSHIP.

Termination by Us

We may terminate your membership at our discretion without notice. If we do so, we will give you a prorated refund based on the number of full months remaining in your membership. However, we will not give any refund for termination related to conduct that we determine, in our discretion, violates these Terms or any applicable law, involves fraud or misuse of this membership program, or is harmful to our interests or another user. Our failure to insist upon or enforce your strict compliance with these Terms will not constitute a waiver of any of our rights.

Limitation of Liability

IN ADDITION TO OTHER LIMITATIONS AND EXCLUSIONS IN ADPALUMNI.COM'S CONDITIONS OF USE AND DISCLAIMER, IN NO EVENT WILL WE OR OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR OTHER REPRESENTATIVES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, ARISING OUT OF OR RELATED TO PREMIER EDITION. OUR TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE LAST ANNUAL MEMBERSHIP FEE YOU PAID. THESE EXCLUSIONS AND LIMITATIONS OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELLATION OR TERMINATION OF YOUR MEMBERSHIP. CERTAIN STATE LAWS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.
